BCTG Avocats advised Norwegian fertilizer giant Yara on the sale by Yara France of its subsidiary Yara Cameroun to the Noutchogouin Jean Samuel (NJS) group, active in the agri-food sector in Central Africa.

The Yara group has officially sold its entire 65% stake in Yara Cameroun to the NJS group. Yara Cameroun, which employs around thirty people and will henceforth operate under the name Hydrochem Cameroun, will import and distribute fertilizers in Cameroon and neighboring CEMAC countries from its concession located in the Port Autonome de Douala. This acquisition marks a decisive turning point for the NJS Group, which is thus extending its influence in the agricultural sector.

To secure supplies, an exclusive distribution agreement has been signed between Hydrochem Cameroun and the Yara group for the distribution of YaraMila NPK fertilizer and YaraLiva Nitrabor Calcium Nitrate. This agreement guarantees the supply of essential products to Cameroonian farmers and retailers. Yara will provide technical and operational support to the NJS Group.
With HYDROCHEM Cameroun, NJS plans to roll out ambitious expansion projects, thus contributing to strengthening food security and promoting innovation in the agricultural sector, not only in Cameroon but also in neighboring countries in the CEMAC zone.

The team that accompanied the Yara Group was made up of partners Augustin Nicolle and Cyprien Dufournier, and associate Pierre de Kerpoisson.
Serges Martin Zangue’s office, known as Zangue & Partners, was BCTG’s local partner in Cameroon.
NJS was financially supported by Marie-Yvonne Charlemagne, Managing Partner of MYA PARTNERS.
